I had the same problem a while back. I called Microsoft Word tech support and they said that the out of memory error message I was receiving was indicative of Word documents that had been translated from Word Perfect. Well, my document had NOT been translated from Word Perfect, but the recommended fix worked for me nonetheless. Here's what I did:

1. Make a backup copy.
2. Use the "Save As" function to save your document as a Word 2.0 file under a new name. This conversion should not affect your standard formatting and styles, but could affect any later-version bells and whistles.
3. Close the document and re-open it in Word 6.0. You will receive a message asking you if you want to convert your 2.x file to 6.0. Click Yes.
4. Cross your fingers and generate your TOC, per usual.
